NON-DISCLOSURE AGREEMENT

This Agreement is entered into on October 16, 2025 between Vilya Corp and Quantum Analytics LLC.

1. Definitions

"Confidential Information" means all non-public information disclosed by the Disclosing Party, including technical data, business plans, and customer information.

2. Term and Termination

2.1 Term: This Agreement shall remain in effect for five (5) years from the Effective Date.

2.2 Termination: Either party may terminate with ninety (90) days prior written notice.

3. Confidentiality Obligations

The Receiving Party shall protect Confidential Information using reasonable care and disclose only to Representatives with a need to know.
